TSG – CEO Business Breakfast: Director’s Liability in Serbia
On November 28, 2025, at the Serbian Chamber of Commerce, TSG Lawyers, in cooperation with the Swiss-Serbian Chamber of Commerce, the Slovenian Business Club, and CANSEE Canadian-Serbian Business Association, organized a CEO Business Breakfast on the topic
“Director’s Liability in Serbia – Guidelines and Practice”
Attorneys Ljubica Tomić and Marijana Zejaković, partners at TSG Lawyers, experts in corporate governance trained by IFC, the World Bank, and the Faculty of Law at the University of Belgrade, shared extensive experience and practical examples from domestic and international practice. During the event, participants had the opportunity to receive practical advice and guidelines on key directors’ duties including:
- duty to act within the limits of authority,
- duty of care (business judgment rule),
- duties to disclose transactions and actions involving personal interest and to avoid conflicts of interest,
- duties to maintain confidentiality and comply with non-competition obligations, as well as
- time limits and authority for instituting legal proceedings against directors.
Special attention was given to balancing managerial discretion in business operations with restrictions imposed by owners and the law.
The event concluded with an interactive discussion over breakfast, where participants exchanged views and posed questions about challenges directors face in daily business operations.
